ARTIST AGREEMENT

Between Renderby.com (“Company”) and the 3D Artist (“Artist”)

By accepting these terms, you agree to provide Premium 3D Rendering services for Renderby’s clients. This agreement replaces all prior arrangements related to your services.

1. Scope of Services

• You will work with the Company’s Creative Directors on assigned 3D visualization projects.

• Project management will be handled by the Creative Director. You are expected to deliver high-quality work on time, follow the Company’s SOP, and coordinate with other team members as needed.

• You and the Creative Director will jointly set project timelines in agreement with the Client. Delays due to unavoidable reasons must be communicated in advance. Time is of the essence.

• If issues arise, a joint review will determine the defaulting party.

• You must not approach or accept direct communication from the Company’s clients. Report such instances immediately.

• You can use your own system and software. The Company is not responsible for software/hardware issues on your device.

• You must retain project backups for 2 years. Revisions requested during this period must be completed on a mutually agreed timeline for a nominal fee. If unavailable, hand over source files to the Company without additional payment.

2. Payment

• Payment is made after full project completion and client approval. For large projects, payment is milestone-based.

• In case of project abandonment, no payment will be made, and any advance received must be returned.

• Payments may be revised based on changes in project scope or client fees.

• You agree to a one-year price lock based on your submitted pricing form.

3. Term & Termination

• Either party may terminate this agreement with 30 days’ notice via email.

• Immediate termination may occur in case of misconduct, delays, or breach of terms.

• Upon termination, you must properly hand over all project files and obtain a clearance from the Creative Director.

• Do not speak negatively about the Company or its personnel, including online. Legal action may follow in such cases.

4. Artist Obligations

• You must not solicit or work with Renderby clients for similar services during the term or within three years after termination, without written consent.

• Projects cannot be publicly shared or published without written approval. Approved work must include the Renderby logo.

• Do not copy or replicate designs for competitors.

5. Confidentiality

• All data, visuals, project info, and communication are confidential and remain the Company’s property.

• You may not use or share confidential information without written approval.

• Exceptions include public or independently developed information not tied to the Company.

6. Intellectual Property

• All work created for the Company becomes its intellectual property.

• You agree to assign all IP rights and assist in legal documentation when needed.

• You confirm that all work delivered is original and does not violate third-party rights.

• Client inputs remain their property. You retain your techniques and workflows. Final outputs belong to the Client, Artist, and the Company.

7. Indemnity

You agree to protect and indemnify the Company from any claims arising from:

• Breach of these terms

• Poor performance or misconduct

• Mishandling of confidential materials

8. Additional Terms

• Portfolio Note: — “I assure that I’m the sole copyright owner of all the 3D images in my portfolio shared with Renderby and that they are not owned by any other person or company.” By agreeing to these terms, you accept full responsibility for any copyright issues arising from these images and agree to resolve such matters at your own cost and liability.

• Terms Update: Terms may change with notice. Continued work implies acceptance.

• Disputes: Disputes will be resolved via arbitration under Indian law, in Chennai, in English.
